Terms of Service

1. Agreement to Terms
By accessing or using Podsuite, including our website, app, and related services (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time; we will indicate the “Last updated” date when we make changes. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Eligibility and Account
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for providing accurate registration information and for keeping your account credentials secure. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or others.
3. Description of the Service
Podsuite provides podcast transcription, speaker diarization, and AI-generated content such as show notes, chapters, summaries, and related assets. Features and availability may vary by plan. We use third-party providers (e.g. for transcription and AI) to deliver the Service. We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features or the Service with notice where practicable, and we will not be liable to you for any such change except as required by law (e.g. refunds for pre-paid periods where we discontinue the Service).
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable laws or regulations;
- Infringe or misappropriate the intellectual property or other rights of any person or entity;
- Upload content that you do not have the right to use (e.g. you must have rights to the podcast audio you upload);
- Upload malware, attempt to gain unauthorized access to our or others’ systems, or interfere with the integrity or availability of the Service;
- Resell, sublicense, or commercially exploit the Service in a way that competes with us or bypasses normal use (e.g. scraping, automated bulk access beyond normal use);
- Use the Service to generate or distribute harmful, misleading, or illegal content.
We may remove content or suspend or terminate accounts that we reasonably believe violate these rules or that harm the Service or others.
5. Payment, Subscriptions, and Credits
Paid plans and credit packs are billed through our payment provider (e.g. Lemon Squeezy). By subscribing or purchasing, you agree to the applicable pricing, billing cycle, and the provider’s terms. Fees are generally charged in advance (e.g. monthly or yearly). Subscription renewals may be automatic unless you cancel before the renewal date. Credits (e.g. for transcription) are consumed as you use the Service and may expire or be subject to plan-specific rules (e.g. rollover policies). Refunds are handled in accordance with our refund policy and applicable law; typically we do not offer refunds for partial periods or unused credits unless required by law or we decide otherwise. You can cancel a subscription through your account or the payment provider’s portal; cancellation will take effect at the end of the current billing period.
6. Your Content and Our License
You retain ownership of the content you upload (e.g. audio, text you provide). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and transmit that content as necessary to provide and improve the Service (e.g. to transcribe your audio, generate show notes, and store outputs). We do not use your content to train general-purpose AI models for use by other customers without your separate agreement. Our right to use your content continues for a reasonable period after you delete it (e.g. for backups and to comply with law) and then we delete or anonymize it in line with our data practices.
7. Our Intellectual Property
The Service, including our software, design, text, graphics, and other materials (excluding your content), is owned by us or our licensors and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Service or materials except as expressly permitted (e.g. using the Service in the normal way). Our name, logo, and related marks are our trademarks; you may not use them without our prior written permission.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRANSCRIPTION AND AI-GENERATED OUTPUT MAY CONTAIN ERRORS; YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING OUTPUT BEFORE RELYING ON IT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PODSUITE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Podsuite and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your content or your violation of any third-party rights, or (c) your violation of these Terms or applicable law.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms or for any other reason with notice where practicable. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
12. Governing Law and Disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you are in the European Union or another jurisdiction with mandatory consumer protection laws, you may also have rights under those laws that cannot be waived by these Terms.
13. General
These Terms constitute the entire agreement between you and Podsuite regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right or provision does not waive that right or provision. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
